Welcome to Lincoln AI, a product and service provided by Lincoln Learning Solutions ("Lincoln Learning," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Lincoln AI, including our website, applications, software, content, tools, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

ELIGIBILITY AND ACCOUNT TYPES

Lincoln AI may be used by individuals, parents or guardians, educators, schools, districts, and authorized institutional users. Certain features may be made available through direct consumer subscriptions, while institutional access may be governed by separate contractual agreements.

Parents or guardians are responsible for supervising minor children using family-managed accounts. Where Lincoln AI is provided through a school or district, the educational institution may manage accounts, permissions, and access on behalf of students and staff.

USER ACCOUNTS AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to provide accurate account information and to promptly update it when necessary. Lincoln Learning may offer multi-factor authentication and other security measures to protect user accounts.

SUBSCRIPTIONS, BILLING, AND RENEWALS

Consumer subscriptions may be offered on a monthly or annual basis. Subscription fees are billed in advance and renew automatically unless canceled before the renewal date. If canceled, access will continue through the end of the paid billing period, after which access may be suspended or terminated.

Institutional subscriptions and enterprise services are governed by separate agreements, purchase orders, invoices, or contractual arrangements.

ACCEPTABLE USE

You agree not to misuse the Services, including by violating laws, infringing intellectual property rights, attempting unauthorized access, uploading malicious content, harassing others, impersonating another person, or attempting to manipulate, reverse engineer, or abuse Lincoln AI systems.

AI SERVICES AND EDUCATIONAL USE

Lincoln AI uses artificial intelligence and automated systems to provide educational guidance, support, and content generation. AI-generated responses may be incomplete, inaccurate, or inappropriate for certain circumstances. Lincoln AI is intended to supplement, not replace, the judgment of educators, parents, guardians, or other responsible adults.

Lincoln AI does not provide medical, mental health, legal, emergency, or other professional advice. Users should not rely solely on AI-generated outputs for important decisions.

USER CONTENT AND OWNERSHIP

Users retain ownership of content they submit, upload, create, or store using Lincoln AI. By using the Services, you grant Lincoln Learning a limited, non-exclusive license to host, process, store, reproduce, and use such content solely for the purpose of operating, securing, maintaining, and improving the Services in accordance with our Privacy Policy.

Lincoln Learning does not claim ownership of user-created educational content.

PRIVACY AND STUDENT DATA

Your use of Lincoln AI is subject to our Privacy Policy. Lincoln Learning is committed to protecting personal information and complying with applicable privacy laws, including FERPA, COPPA, and applicable state student data privacy laws where relevant.

When Lincoln AI is used by schools or districts, Lincoln Learning may act as a school official or service provider under applicable law and process student information under the direction and control of the educational institution.

Lincoln Learning does not sell student personal information and does not use student data for targeted advertising.

THIRD-PARTY SERVICES

Lincoln AI may integrate with or rely upon third-party services, including payment processors, authentication providers, cloud hosting providers, and learning management systems. Use of third-party services may also be subject to those providers' terms and privacy policies.

SUSPENSION AND TERMINATION

Lincoln Learning may suspend or terminate access to the Services for violation of these Terms, security concerns, non-payment, legal compliance obligations, or misuse of the Services. Users may discontinue use of the Services at any time, subject to applicable subscription terms and contractual obligations.

DISCLAIMERS

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, except as otherwise required by law or expressly agreed in writing.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Lincoln Learning Solutions shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Services.

CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated by updating the effective date and, where appropriate, by providing notice through the Services or by email.

GOVERNING LAW

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Venue for disputes shall be in Beaver County, Pennsylvania, unless otherwise agreed in writing.
